Wholesale Terms

Last updated: October 27, 2026

These Wholesale Terms apply to every business we approve for a wholesale account with Mother of Macros Meal Prep LLC ("Mother of Macros," "we," "us") and to every wholesale order placed through our wholesale portal, by email or by phone. They work together with our Terms of Service. If the two conflict for a wholesale order, these Wholesale Terms control. Our retail order minimums, Saturday order cutoff, Meal Guard Freeze Pack fee, Refund Policy, Shipping Policy, Subscription Terms, discount codes and gift cards do not apply to wholesale orders. By applying for, using or ordering through a wholesale account, your business agrees to these terms, and the person doing so confirms they are authorized to bind the business.

1. Your account

We approve wholesale accounts at our discretion, for businesses in our local delivery area. Each person who logs in for your business acts on your behalf, so keep logins secure and tell us right away if someone should lose access. You are responsible for orders placed through your account. We may suspend or close an account, for example for late payment, an open card dispute or a breach of these terms.

2. Pricing

Your wholesale prices are set for your business and are shown only when you are logged in. They are confidential: please don't share them outside your business. Prices can change; we'll email you at least 7 days before a price change takes effect. The price shown when you place an order is the price you pay. Discount codes and gift cards can't be used on wholesale orders. You set your own retail prices.

3. Order minimum, delivery days and cutoffs

Every wholesale order must be at least $80 before tax. There is no item minimum. We deliver every Tuesday and Friday.

  • For a Friday delivery, order by Wednesday at 3 PM Pacific Time.
  • For a Tuesday delivery, order by the Friday before at 3 PM Pacific Time.

Orders placed after a cutoff go out on the next delivery day. If an item becomes unavailable, we'll remove it from your order and you won't be charged for it.

4. Changes, cancellations and standing orders

You can change or cancel an order until the cutoff for its delivery day by emailing info@motherofmacros.com or calling 775-409-4596. After the cutoff, the order goes into production and is final.

If you set up a standing order, we will deliver the agreed items on your chosen delivery day(s) each week, and you authorize us to charge the card saved on your account (or invoice you, if you have payment terms) for each delivery at the current price, until you cancel. You can change, skip or pause a standing-order delivery until its cutoff, and cancel the standing order anytime by email. Cancellation takes effect for deliveries whose cutoff has not yet passed. We'll email you before a price change affects your standing order.

5. Payment and taxes

Unless we have agreed to payment terms with you in writing, orders are paid by card at checkout. If you choose to save a card for your location, you authorize us to charge it for orders your business places, including standing orders. If we have agreed to payment terms (for example, Net 15), they appear at checkout and each invoice is due within the stated number of days. Past-due balances accrue a late charge of 1.5% per month, or the highest rate the law allows if that is lower, and we may pause ordering until they are paid.

If you have a problem with a charge, please contact us before disputing it with your card issuer; we will work it out with you. We may pause your account while a card dispute is open. You agree to pay our reasonable costs of collecting any amount you owe, including collection agency and attorneys' fees.

Applicable sales tax is added to your order unless you have given us a valid resale or exemption certificate that we have accepted. You are responsible for keeping that certificate current and for any tax, interest or penalty that results if it turns out to be invalid.

6. Delivery

We deliver to the business address on your account in Reno and Sparks. Delivery times are estimates. Please make sure someone can receive the order, or agree a drop-off spot with us. Ownership and risk of loss pass to you when we complete delivery, including when an order is left at an agreed drop-off spot. If we can't complete a delivery because no one is available and no drop-off spot was agreed, the order is still due and we can't redeliver it.

7. Storage, dates and selling our products

Some of our wholesale products are delivered fresh and some are delivered frozen. Each item's label tells you how to store it and by when to sell it. You agree to:

  • put products in refrigeration or a freezer, as the label directs, as soon as they are delivered, and keep them at safe temperatures (fresh items at 41°F or below; frozen items frozen solid) while stored and on display;
  • not sell any product after the date on its label, and not change, extend or cover that date;
  • not thaw, refreeze, reheat for sale, repackage or alter a product, except as its label directs;
  • not remove, cover or change our labels, including ingredient, allergen and nutrition information;
  • sell our products only to consumers at your approved location(s), and not resell them to other businesses, online or through delivery apps without our written OK; and
  • follow the health-department rules that apply to your business.

After delivery, your business is responsible for how products are stored, handled, displayed and sold.

8. Allergens and nutrition

Our products are made in a shared kitchen that handles peanuts, tree nuts, milk, eggs, wheat, soy, fish, shellfish, sesame and other allergens, and we can't guarantee any product is free of allergens or cross-contact. Each label lists the product's ingredients and allergens; please make that information available to your customers and don't describe our products as allergen-free or make health, diet or nutrition claims about them beyond what our labels say. Calories and macros are estimates calculated from our recipes.

9. Problems with an order

Please check your order when it arrives. If an item is missing, wrong or damaged, or a fresh item arrives warm, email info@motherofmacros.com by the end of the delivery day with your order number and photos. We'll replace or credit the affected items. Because our products are perishable, we can't accept returns, and we can't credit products that expire, go unsold, or are stored or handled in a way that doesn't follow their labels. Problems reported after the delivery day can't be credited.

10. Customer complaints, illness and injury reports

If a customer tells you they got sick, had an allergic reaction, were injured or found something that shouldn't be in one of our products, please:

  • tell us within 24 hours at info@motherofmacros.com or 775-409-4596;
  • keep the product, its packaging and label, and any receipt, if you can, and set aside other units from the same delivery; and
  • not admit fault, offer compensation or make statements on our behalf. We will handle the response with our insurer.

11. Recalls

If we ever recall a product, we'll contact you right away. You agree to stop selling it immediately, set it aside, and help us reach your customers if needed. We'll credit or refund recalled products.

12. Our name and photos

You may use our name, logo and product photos to promote our products that you sell, without changing them. You may not suggest that we endorse your business beyond selling to you. We may list your business as a place to find our products unless you ask us not to. All of our names, logos, recipes, labels and photos remain ours.

13. Our product promise

We promise that our products, when delivered, are prepared and labeled in line with the food safety and labeling laws that apply to us and are fit to eat if stored and handled as their labels direct. Except for this promise and to the fullest extent the law allows, we make no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Your remedy for a product that doesn't meet this promise is a replacement or credit under section 9, along with our obligations under section 14.

14. Insurance and responsibility

Each of us will carry general liability insurance suitable for our business and, on request, share a certificate of insurance. Each of us is responsible for our own acts. You agree to indemnify and defend Mother of Macros against claims arising from how your business stores, handles, displays or sells our products after delivery, from statements you make about our products, or from your breach of these terms. We agree to indemnify and defend you against claims arising from a product defect that existed when we delivered it.

15. Limit of liability

To the fullest extent the law allows, our total liability for any claim about a wholesale order is limited to the amount you paid for that order, and neither of us is liable to the other for lost profits or other indirect or consequential damages. This does not limit either party's indemnity obligations in section 14 or any liability that can't be limited by law.

16. Events beyond our control

We aren't responsible for a late, short or missed delivery caused by something outside our reasonable control, such as severe weather, road closures, power or equipment failures, supplier shortages, illness, government orders or other emergencies. If that happens, we'll let you know as soon as we can and you won't be charged for anything we don't deliver.

17. Ending the relationship and changes

Either of us can stop the wholesale relationship at any time by email. Orders already past their cutoff will still be delivered and paid for, and anything you owe stays due. We may update these terms by posting a new version on this page and emailing active accounts; changes don't apply to orders already placed, and placing an order after a change means you accept it.

18. General

We are independent businesses. These terms don't create a partnership, joint venture, franchise, agency or employment relationship, and neither of us has exclusive rights. These terms, together with our Terms of Service and any written payment-terms agreement, are the whole agreement between us about wholesale orders. You may not transfer your account or these terms without our written OK. If any part of these terms can't be enforced, the rest still applies. If we don't enforce a term right away, we can still enforce it later. Notices may be sent by email to the address on your account or to info@motherofmacros.com.

19. Governing law and disputes

These terms are governed by the laws of the State of Nevada, with venue in the state and federal courts in Washoe County, Nevada. If either of us has to go to court to enforce these terms, the winning party may recover its reasonable attorneys' fees and costs.
